Using this website

You may use this website to learn about AfriUX and to contact us. You may not use it to do anything unlawful, to interfere with its operation or security, to attempt unauthorised access to any part of it, or to extract its content by automated means for commercial purposes.

The content on this site is provided for general information. We work hard to keep it accurate, but we do not warrant that it is complete, current or error-free, and nothing on this site is professional, legal or financial advice. Any decision you make based on it is your own.

We may change, suspend or withdraw any part of the site at any time without notice.

How we handle your personal information is set out separately in our Privacy Policy, which forms part of these terms. It explains, among other things, that our website is hosted in the United States and that information you submit is transferred outside South Africa.

How we agree work

Nothing on this website is an offer capable of acceptance. Enquiring through the site, or discussing a possible project with us, does not create a contract.

Work is agreed in writing. For each engagement we issue a proposal or statement of work setting out the scope, the deliverables, the timeline, the fees and the payment schedule. An engagement begins when you accept that document in writing and, where required, pay the deposit.

Where a signed proposal, statement of work or master services agreement conflicts with these terms, that document takes precedence for that engagement.

Quotations are valid for 30 days unless stated otherwise. Fees quoted exclude VAT unless expressly stated to include it, and exclude third-party costs such as software licences, participant incentives and travel, which we agree with you in advance.

Changes to scope. Design work evolves. If you ask for work materially outside the agreed scope, we will tell you before proceeding and agree the additional fee and timeline in writing. We are not obliged to perform out-of-scope work.

Fees and payment

Fees, the payment schedule and any deposit are set out in the proposal or statement of work for each engagement.

Unless we agree otherwise in writing, invoices are payable within 14 days of the invoice date. Work generally begins once the deposit is received.

If an invoice is not paid when due, we may suspend work on reasonable notice, and we may charge interest on the overdue amount at the rate permitted by law. Suspension for non-payment does not extend our delivery obligations, and any resulting delay is not our responsibility.

All amounts are payable in the currency stated on the invoice, free of deduction or set-off, and you are responsible for any bank charges, currency conversion costs or withholding taxes applicable in your jurisdiction.

Cancellation. Either party may end an engagement on written notice as set out in the statement of work. If you cancel, you remain liable for work performed and costs committed up to the date of cancellation, and deposits are non-refundable to the extent that work has been done.

Who owns the work

The content of this website, including its text, design, graphics and code, belongs to AfriUX or our licensors and is protected by copyright and other intellectual property laws. You may view and print pages for your own personal or internal business use. You may not reproduce, republish or exploit any part of the site for commercial purposes without our written permission.

Pre-existing material. AfriUX retains ownership of all methods, frameworks, templates, code libraries and other tools we developed before, or independently of, an engagement, even where we use them in the course of delivering your project.

Deliverables. Ownership of the specific deliverables created for you under a paid engagement, such as designs, prototypes, research reports and documentation, transfers to you once we have received payment in full for the work concerned. Until then, deliverables remain our property. Unless the statement of work says otherwise, we retain the right to reuse general skills, know-how and non-confidential techniques developed during an engagement in our work for other clients.

Portfolio rights. Unless you tell us otherwise in writing, we may reference the fact of an engagement and describe our role in general terms in our portfolio, case studies and marketing, without disclosing confidential or commercially sensitive information.

Confidentiality

In the course of an engagement we may each share information that is confidential, such as business plans, product roadmaps, unreleased designs or user research. Each party agrees to keep the other’s confidential information private, to use it only for the purposes of the engagement, and to protect it with the same care it uses for its own confidential information.

This does not apply to information that is already public, that you already lawfully held, that becomes known to us independently, or that we are required to disclose by law or a valid order of a court or regulator, in which case we will, where lawfully possible, tell you before we disclose it.

These confidentiality obligations continue for three years after an engagement ends, except for trade secrets, which remain protected for as long as they stay confidential.

Liability and warranties

We provide our services with reasonable skill and care. Beyond that, our services and this website are provided on an “as is” basis, and, to the extent permitted by law, we exclude all warranties not expressly set out in a statement of work or required by the Consumer Protection Act 68 of 2008, where it applies.

Neither party is liable to the other for indirect, incidental or consequential loss, including loss of profits, revenue or data, arising from these terms or an engagement.

Subject to that, our total liability to you for any claim arising from an engagement, whether in contract, delict or otherwise, is limited to the fees paid to us for the specific engagement giving rise to the claim in the twelve months before the claim arose. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for gross negligence, fraud, or death or personal injury caused by our negligence.

Termination

Either party may terminate an engagement for convenience on the notice period stated in the relevant statement of work, or immediately if the other party commits a material breach that it fails to remedy within 14 days of being asked to, or becomes insolvent or unable to pay its debts.

On termination, you must pay for all work performed and costs properly incurred up to the effective date of termination. We will deliver the work completed to that point, in the form it is in, once payment has been received.

Sections of these terms that by their nature should survive termination, including confidentiality, intellectual property, liability and governing law, continue to apply after an engagement ends.

Governing law, changes, and how to reach us

These terms are governed by the law of the Republic of South Africa. Any dispute arising from these terms or an engagement that cannot be resolved amicably is subject to the non-exclusive jurisdiction of the South African courts.

We may update these terms from time to time to reflect changes in our services or the law. The date at the top of this page shows when it was last updated. For an active engagement, the terms in force at the time the statement of work was signed continue to apply for that engagement, unless we agree a change in writing.

If you have questions about these terms, contact us at hello@afriux.com. For privacy queries specifically, contact privacy@afriux.com.
